Referral Program

By referring new advertisers and/or affiliates (the “New Organization” or “New Organizations”) to Squaredance (“Squaredance”) you may qualify to participate in the Squaredance Referral Program (the “Program”) as a Referral Source. If you choose to participate in the Program, for each New Organization you refer to Squaredance for which a Qualifying Referral (defined below) is completed, you may be eligible to receive a commission on any traffic generated by the New Organization(s) (the “Referral Commission”) subject to the terms and rules outlined herein.
By participating in the Program as a Referral Source, you agree to and are subject to Squaredance’s Terms of Use and Privacy Policy, as well as the additional Terms and Conditions for Squaredance’s Referral Program contained herein.
How to Refer and Qualify
To qualify to receive a Referral Commission, each of the following actions must be taken and requirements must be met (collectively, a "Qualifying Referral"):
- Log in to your Squaredance Partners Account and go to the Referral Management tab to copy the Referral Program link which is unique to you;
- Share your unique link with a New Organization you think might be a good fit for Squaredance – keeping in mind that they will only qualify if they have never worked with Squaredance as a customer and will still be subject to our usual eligibility requirements; and
- The New Organization who clicks your unique link must create a Squaredance Account and generate traffic with Squaredance.
How are Referral Commissions Calculated and Paid
Payment of Referral Commission on a Qualifying Referral is calculated, and payouts determined as follows:
- Payments to Referral Source will be made on a monthly net 30 basis on the first Friday of each month (or by the following business day if the Friday falls on a holiday) calculated and subject to the following;
- Referral Commission amounts are calculated as 1.0% of applicable CPA value per sale generated by a Qualifying Referral for the duration of one (1) year starting from the date of the New Organization’s successful onboarding with Squaredance.
- Referral Source will only be paid if the Advertiser(s) on the applicable campaigns have made all required payments to Squaredance and if all applicable accounts are in good standing; and
- In any given month that the total Referral Commission does not reach the minimum payment threshold of $200.00 USD, then it will be added to the following month and accrue until the minimum payment threshold has been reached.
How to Track
The details of your profile as a Referral Source will be tracked and displayed in the Referral Management tab in your Squaredance Partners account, including:
- List and status of referrals
- Projected Referral Commission since last payment
- History of Referral Commission earnings and payouts
Squaredance will do its’ best to keep your account details up to date within a commercially reasonable amount of time, however, delays in updates may occur from time to time which we will work to rectify as quickly as possible.
The Legal Stuff: The Program Terms & Conditions
Unique to You Link and Account
Referral Commission can be accrued solely by you and you may not earn Referral Commission by permitting another individual to use your Account. Referral Commission accrued in multiple Accounts may not be combined into one Account. You may not earn Referral Commission by creating multiple Accounts.
You may not post your unique referral link on any public forum and doing so may result in the reversal of any commissions earned and may result in your Squaredance account(s) becoming suspended. Except as explicitly provided herein, Referral Commissions are non-transferable. Members are responsible for keeping track of the Referral Commission status in their account.
Referrals
If it is determined that a Qualifying Referral has in fact had a previous existing account with Squaredance, it may result in the reversal or non-payment of any commissions earned and a Member’s account being suspended.
An invitation or ability to participate in this Program does not provide assurance that a New Organization referred by you will be accepted as a customer of Squaredance and as a Qualifying Referral. This Program is only valid for entities that otherwise meet our onboarding eligibility requirements. The approval of New Organizations is at the sole discretion of Squaredance and Squaredance reserves the right to reject referrals and suspend or terminate a New Organization or Qualifying Referral’s account at any time.
No Spam
You must comply with all up to date "SPAM" laws. For example, emails must be created and distributed in a personal manner. Any distribution of your referral link that could constitute unsolicited commercial email or "spam" under any applicable law or regulation is expressly prohibited and will be grounds for immediate termination of your account and exclusion from the Program.
Limitation of Liability; No Warranties
Neither party will be responsible for: (1) any failure to close a particular referral; and (2) any losses, liabilities, or damages whatsoever suffered by the other party for any referral. Neither party makes any representation or warranty, express or implied, with respect to any referred organization.
Indemnification
Each party shall indemnify and hold harmless the other party (and its subsidiaries, affiliates, officers, agents, contractors) from any and all claims, damages, liabilities, costs, and expenses (including, but not limited to reasonable attorneys’ fees, costs, degradation or tarnishment of reputation) incurred by such party as the result of any claim, judgment, threat, demand, or adjudication against it relating to or arising from any referral relationship between the parties.
Relationship of Parties
The Referral Source and the New Organization(s) are each independent contractors, and nothing herein shall be construed to imply the existence of a partnership or joint venture between them or make them an agent of one another. No party will hold themselves out to be an owner, consultant, investor, employee, or similar to any third party.
Termination and Changes
Squaredance may suspend or terminate the Program or a user’s ability to participate in it at any time for any reason.
If Squaredance suspects fraudulent or abusive behaviour, gaming of the system or a violation of these terms, Squaredance reserves the right to take any action it deems appropriate including, but not limited to, holding back commission payouts and/or suspending or closing accounts.
Updates to Terms:
Squaredance reserves the right to change the Program Terms and Conditions at any time in its sole discretion without prior notice. If Squaredance modifies these terms, it will post the modification on the Squaredance.com website, applications, or services, which shall be effective upon posting. Continued participation in the Program after any modification shall constitute consent to such modification.
Miscellaneous
Squaredance is the sole arbiter of these rules and any other issue arising under the Program. These terms shall be governed by, construed and enforced in accordance with the laws of the Province of Ontario and the applicable laws of Canada. You agree to submit to the personal and exclusive jurisdiction of the courts located within the province of Ontario, Canada. Squaredance’s failure to exercise or enforce any right or provision of these terms shall not constitute a waiver of such right or provision. If any provision of these terms is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavour to give effect to the parties' intentions as reflected in the provision, and the other provisions of the terms shall remain in full force and effect.
You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to the Program shall be resolved by binding arbitration held in Toronto, Ontario and before a single arbitrator, in accordance with the Arbitration Act, 1991, S.O. 1991, c. 17.
Our standard terms relating to your use of Squaredance’s site and any agreements that apply to a Squaredance member’s account(s) each apply and are not affected in any way by this Program.
